The main objective of the module is to provide students with a specialist outlook and preparation as far as European Commercial and Company Law are concerned.
The course is aimed to give an in-depth understanding of the following subjects: Italian and foreign companies, freedom of establishment, “Company” harmonization at Community level, European Company (SE), and the corporate governance models in Germany, USA and UK
Directives and European Court decisions will be the milestones in order to analyze Freedom of Establishment and its possible abuse.
Network and distribution contracts, guarantees will be examined as well as some cases referring to the European Company (SE)
Attending students can prepare for Examination studying on the notes and on the materials given during classes.
Non-attending students may use the following book: E.Pederzini "Percorsi di Diritto Societaio Europeo" Ed. Giappichelli Torino 2011 - Seconda Edizioni and further additional materials given by the Lecturer.
The exam will be divided into two stages: the first stage will be a written test (based on discussing questions of given subjects), and the second stage will be an oral test.
